What is the Monaco Trade Register?
The Repertoire du Commerce et de l’Industrie (RCI) is the authority responsible in Monaco with registering any natural persons who exercise commercial activities. These are the type of business that requires registration: Societe En Commandite Simple, Societe En Commandite Par Action, Societe A Responsabilite Limitee, Societe En Nom Collectif, Societe Anonyme, Activite En Nom Personnel. The registration is not required in case of the people involved in handicraft or liberal activities.
It also conduct registration renewals for every commercial entities at every 5 years.
How can a company be registered in the Trade Register?
The registration in the Repertoire du Commerce et de l’Industrie de Monaco must be made within two months from starting the business and after the necessary documents were checked by the Department of Trade Directory.
The registration can take place after the publication in the Journal de Monaco of the following: the authorization received from the Ministry, the articles of association, the declaration of payment of capital and the minutes of the general meeting regarding the incorporation. Also a fee must be paid for publication, determined by the Repertoire du Commerce et de l’Industrie.
The registration dossier signed and dated, in duplicate forms along with supporting documentation must be submitted to RCI for the Directorate of Economic Expansion (the managing body of the RCI) and a registration fee must be paid.
The content of the dossier is different for every type of business but all investors must include: a copy of the ID for the nationals, a copy of the residency permit for residents, a copy If the passport for the non-residents and a completed standard form (''Demande D’inscription Au Repertoire Du Commerce''). In case of a limited liability company or a public limited liability company also a proof that the minimum share capital was deposited is requested.
Any changes that might interfere must be declared as soon as possible in person at the office or through email. The information from the portal are updated every day.
How to check information from the Trade Register?
The information can be checked online but its validity cannot be guaranteed. The safest way to obtain accurate information is writing a request for documents issued on paper and guaranteed by the Directorate of Economic Expansion.
